General

A. YOUR CONTINUED USE OF THIS SERVICE NOW, OR FOLLOWING THE POSTING OF THE NOTICE OF ANY CHANGES IN THESE OPERATING RULES, WILL INDICATE ACCEPTANCE BY YOU OF SUCH RULES, CHANGES OR MODIFICATIONS.
B. ActorsPad may change, suspend or discontinue any aspect of the site and its services at any time, including but not limited to any use of ActorsPad software, database, or anything that is related to your participation, in the ActorsPad community and site to all parts without notice, and ActorsPad is in no way liable if and when such a suspension occurs.

Registration

In order to use the membership features of ActorsPad, i.e. software, community, tech support, and other features as defined now or in the future by ActorsPad, talent is required to register an account with ACTORSPAD DIRECTLY TO OBTAIN ACCESS TO THIS SERVICE.

Access and Passwords

As part of the subscription process for this Site, you have selected or been assigned a particular password and ActorsPad UserName in accordance with ActorsPad password and UserName guidelines. You agree that all actions taken by you, or any other user that accesses the ActorsPad site using your UserName, at or through the ActorsPad site will be attributed to and legally bind you, even with respect to acts for which the user had no actual authority or made an error. You assume all resulting liability from use of the ActorsPad site and any services available on it by you or others using your password or UserName. If you lose your password, please visit http://www.ActorsPad.com/ForgotPassword.aspx to have your password e-mailed to you.

Subscription Fees and Payments

You can always find the current Subscription Fees posted at http://www.ActorsPad.com/Prices.aspx. Your subscription will continue and renew automatically, unless terminated by ActorsPad or until you notify ActorsPad by e-mail or as designated on the ActorsPad site of your decision to terminate your subscription. If there are any annual, monthly, or similar periodic fees for your subscription (including any applicable taxes), these fees will be billed automatically to the credit card or bank account designated during the registration process for the ActorsPad site or subsequently designated by you to ActorsPad, at the start of the annual, monthly or similar period, and at the start of each renewal period, unless you terminate your subscription before the relevant period begins. You agree to pay or have paid all fees and charges incurred in connection with your ActorsPad UserName and password for the ActorsPad site (including any applicable taxes) at the rates in effect when the charges were incurred. All fees and charges (including any applicable taxes) are nonrefundable. ActorsPad may change the fees and charges then in effect, or add new fees or charges, by giving you notice in advance. All fees and charges (including any applicable taxes) incurred in connection with your ActorsPad UserName and password will be billed to the credit card designated during the registration process for the ActorsPad site or subsequently designated by you to ActorsPad. If you want to designate a different credit card or there is a change in credit card validity or expiration date, or if you believe someone has accessed the Site using your ActorsPad UserName and password without your authorization, you must e-mail ActorsPad support. You also are responsible for any fees or charges incurred to access the ActorsPad site through an Internet access provider or other third party service. YOU, AND NOT ACTORSPAD, ARE RESPONSIBLE FOR PAYING ANY AMOUNTS BILLED TO YOUR CREDIT CARD BY A THIRD PARTY WHICH WERE NOT AUTHORIZED BY YOU.

Refund Policy

ActorsPad offers a one-week no-charge trial period for new accounts.

All fees and charges (including any applicable taxes) relating to ActorsPad subscription services, such as Web-Hosting, E-mail Accounts, DNS Hosting, Domain Lease, and other services are nonrefundable.

Fees associated with ActorsPad custom design are refundable up to 3 days after purchase. Custom design will be furnished to the subscriber no longer than 30 days from date of purchase. Refunds requested before designer has begun work on the project are processed within 10 days of notice.

Cancellation Policy

You can cancel your account at any time, but your subscription will stay active until expiration.

Representations and Warranties

You represent and warrant to ActorsPad that: (a) you possess the legal right and ability to enter into this Agreement; (b) all information submitted by you to the ActorsPad site is true and accurate; (c) you will be responsible for all use of your password and ActorsPad UserName even if such use was conducted without your authority or permission; (d) you are at least 18 years old; and (e) you will not use the ActorsPad site for any purpose that is unlawful or prohibited by this Agreement.

Limitation of Damages

IN NO EVENT WILL ACTORSPAD OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, OR SPECIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF OR UNAUTHORIZED ACCESS TO INFORMATION, AND THE LIKE, EVEN IN THE EVENT OF FAULT, TORT, BREACH OF CONTRACT, OR BREACH OF WARRANTY, AND EVEN IF ACTORSPAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Limitation of Liability; Exclusive Remedy

ALSO, IN NO EVENT WILL ACTORSPAD BE LIABLE TO YOU AND/OR ANY AGENCY FOR ANY AMOUNT IN EXCESS OF THE TOTAL DOLLAR AMOUNT ACTUALLY RECEIVED BY ACTORSPAD FROM YOU FOR ACCESS TO THE SITE AND ANY OF THE SERVICES AVAILABLE AT THE SITE DURING THE YEAR PRIOR TO YOUR CLAIM.

Indemnity

You agree to indemnify and hold us harmless, and pay our attorney's fees and costs, if we become liable for or incur any damages in connection with your breach of this Agreement. You may not settle any dispute without our prior consent, which may only be given in a non-electronic writing signed by an authorized representative of ActorsPad.

Termination

ActorsPad may terminate your subscription and access, or suspend access to all or part of the ActorsPad site, without notice, for any conduct that ActorsPad, in its sole discretion, believes is in violation of this Agreement, any applicable law, or is harmful to the interests of another user, service provider, or ActorsPad. ActorsPad may also elect not to renew your subscription and access by providing a notice of nonrenewal prior to the end of your current subscription term.

Amendments

ActorsPad may change the provisions of this Agreement. When ActorsPad changes the terms of this Agreement, ActorsPad will notify you by e-mail or online postings on the ActorsPad site. The changes will also appear in this document, which you can access any time by selecting Terms and Conditions at the bottom of any page of the ActorsPad site. You already agreed to be bound by the changes when you first subscribed to the site. If you do not agree to be bound by the changes, you should not use the ActorsPad site again and you should cancel your subscription to the ActorsPad site. Even if you have not clicked on the "I Agree" button when subscribing, if you use the Site after you have been notified of a change to this Agreement, you are agreeing now to be bound by that change.

DISCLAIMERS OF WARRANTIES

YOU AGREE THAT YOU USE THIS WEB SITE AT YOUR OWN RISK. OUR SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, BUT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OR PARTICULAR PURPOSE OF NONINFRINGEMENT. WE MAKE NO GUARANTEES THAT OUR SITE WILL BE UNINTERRUPTED OR ERROR FREE. WE IN NO WAY GUARANTEE THAT ANY INFORMATION FROM THE SITE IS IN ANY WAY RELIABLE OR THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIALS OBTAINED BY OR THROUGH TO MEET YOUR EXPECTATIONS.
